Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the gigasphere.io website and the products offered by Giga-Sphere OS, LLC, a Nevada limited liability company (“Giga-Sphere OS,” “we,” “us,” or “our”), including Giga-Fleet, Giga-Books, and the BTX Express driver-support application (collectively, the “Service”). By using the Service you agree to these Terms.

1. “AS IS” — No Warranty

The Service is provided “AS IS” and “AS AVAILABLE,” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

2. Not a Compliance, Insurance, Legal, Tax, or Financial Advisor

Giga-Sphere OS is not a compliance certifier, insurance provider, legal advisor, tax advisor, or financial advisor. The Service is a tool. Carriers, drivers, and other users are solely responsible for their own regulatory compliance and for the accuracy of all data they input into the Service.

3. User Responsibility for Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of any information you input into or upload to the Service.

4. Limitation of Liability

To the maximum extent permitted by law, Giga-Sphere OS’s total cumulative liability for any claim arising out of or relating to the Service is limited to the greater of (a) the total amount you paid Giga-Sphere OS in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

5. Indemnification

You agree to indemnify, defend, and hold harmless Giga-Sphere OS and its officers, members, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service.

6. WORM Evidence Logs

Compliance records stored in the Service are sealed in a write-once, read-many (WORM) evidence log and are immutable. By using the Service, you acknowledge and consent to the permanent sealing of compliance records.

7. Arbitration; Class-Action Waiver

Any dispute arising out of or relating to the Service or these Terms shall be resolved by binding arbitration seated in Clark County, Nevada. You and Giga-Sphere OS each waive any right to participate in a class action, class arbitration, or other representative proceeding.

8. Termination

Giga-Sphere OS may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice.

9. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles.
